General Position Summary:

The Incumbent will assume responsibility for all legal and contracts issues pertaining to Sterling Green Power Solutions Private Limited (SGPS). He / She will play a major role in ensuring contractual arrangements with clients, subcontractors, dealers, distributors, suppliers are clear, economical, and efficient and ensure SGPS interests are sufficiently safeguarded.

Good interpersonal and communication skills, team player and significant experience in independently negotiating with internal and external stakeholders is required.

Key responsibility areas:

• Drafting / Review of MSAs, MOUs, Distribution agreement, Dealership agreement, technology purchase agreement, NDAs, partnership/teaming agreement, for both, domestic and international markets.
• Support to SCM team in drafting / reviewing/ negotiating PO terms and conditions.
• Drafting contractual correspondences with Clients/ vendors
• Flagging and highlighting the contractual or legal risks involved in projects under discussion
• Providing legal support to all the business division including tender support during tendering phase, drafting, evaluation, negotiation and execution of contracts in liaison with group & Contracts and Legal Team.
• Good experience in finalizing contract, should be in a positon to independently negotiating contracts with various local as well as international parties.
• Good understanding of international contracts and best practices.
• Good drafting skills with previous experience of drafting different types contracts, MOUs, terms sheets, agreements.
• Undertaking any other contractual/commercial tasks as instructed/requested by Business Head / Legal & Contract Cell.
• Coordinate closely with relevant discipline staff to secure additional financial, contract, and legal support as needed.

DESIRED SKILLS AND EXPERIENCE:

• University Degree in Law.
• Additional qualification on commercial/ financial aspects would be preferred.
• Experience of min 8 to 12 years.
• Demonstrated experience in preparing and interpreting complex and sizeable contracts,.
• Strong fundamentals and understanding of Contract Law, Arbitration Laws Statutory Requirement applicable to such Contracts.
• Technical understanding about Term Sheet, EPC Contracts (FIDIC Based or other International Contract Forms), Service Contracts, Supply Contracts. Experience of high level negotiations.
• Strong communication skills - English language fluency;
• Analytical skills.
• Proficient ability in Computers, Microsoft Word, Excel, Presentations and project/supply chain management software, if any.
• Organizational skills and flexibility to complete critical tasks on time.
  A Self Starter with ability to work with minimum supervision in a team environment.
• Understanding of project risk management.

REPORTING: VP Legal

ACCOUNTABILITY: Close working relationship with Sales team, commercial team and SCM Team in order to assist them to achieve the common goal of timely completion of contract within the scheduled completion time without compromising any of the contract requirements.
